HOUSE BILL 207

AN ACT relative to information required in articles of incorporation.

ANALYSIS

This bill requires articles of incorporation to include the names and addresses of the individuals who are to serve as the initial directors. The bill also repeals the current provision, which makes the inclusion of such information optional.

STATE OF NEW HAMPSHIRE

In the Year of Our Lord Two Thousand Three

AN ACT relative to information required in articles of incorporation.

Be it Enacted by the Senate and House of Representatives in General Court convened:

1 New Subparagraph; Articles of Incorporation; Information Required; Initial Directors. Amend RSA 293-A:2.02(a) by inserting after subparagraph (4) the following new subparagraph:

(5) The names and addresses of the individuals who are to serve as the initial directors.

2 Repeal. RSA 293-A:2.02(b)(1), relative to initial directors, is repealed.

3 Effective Date. This act shall take effect 60 days after its passage.
