564-F:3-306 Restated Certificate of Formation. –

(a)

Unless the governing documents provide otherwise, the founder or the directors may restate the foundation's certificate of formation by filing with the secretary of state a restated certificate of formation.

The restated certificate of formation shall set forth:

The restatement of the certificate of formation.
