REQUESTED ACTION

Pursuant to MOP 150, VII (C), a uthorize the Department of Information Technology (DoIT) on

behalf of the Department of Health and Human Services (DHHS), Bureau of General Counsel, to

enter into a Sole Source purchase agreement directly with EverLaw Inc. (VC# 278647), Oakland,

CA in the amount of $246,000.00 to procure a GovCloud software subscription effective upon

Governor and Council approvals through June 30, 2027. 100% Other Funds.

Funds are available in State Fiscal Year 2026 with the authority to adjust budget line items within

the price limitation through the Budget Office, if needed and justified.

EXPLANATION

This Sole Source request with EverLaw Inc is necessary because reseller offerings are priced

higher and limited to commercial subscriptions. Procuring directly from EverLaw Inc. allows us

to obtain a government subscription rather than a commercial one, resulting in cost savings of

$12,947.37. This is a cloud-native eDiscovery platform that enhances speed, efficiency, and

collaboration in legal workflows through an intuitive interface and AI-driven tools. It is widely

used by law firms, corporations, and government agencies to manage large-scale data, accelerate

document review and reduce overall litigation costs. The platform supports rapid data ingestion

and processing—handling more than 900,000 documents per hour—and provides instantaneous

search results. Its scalable architecture manages complex, high-volume matters without requiring

in-house IT infrastructure. Additionally, it offers strong security protections, including

FedRAMP Moderate and StateRAMP authorizations, making it well-suited for government

entities and organizations working with sensitive information.

DoIT solicited a request for quote to our contracted software resellers. Only SHI and Carahsoft

were able to provide a formal quote. Dell chose not to bid and DoIT did not receive a response

from CDWG or Zones within the deadline.

ADDITIONAL TERMS:

1. Terms Of Service. This Order Form (“Order Form”) between Everlaw, Inc., a Delaware corporation (“Everlaw”)

and the Customer listed above (“Customer”) is made in connection with and includes, incorporates, and is

subject to the Customer Terms of Service available at https://www.everlaw.com/legal/customer-terms-of-service/

(the “Terms”, and together with the Order Form, the "Agreement"). Any terms used in this Order Form and not

defined below will have the meanings given to them in the Agreement. If there is a conflict between the terms of

this Order Form and the Terms or other Order Forms, the terms of this Order Form will control.

2. Start Date; Signature Date. The Subscription will begin on the Subscription Start Date (the "Start Date")

indicated in "Subscription Terms of Service" above. This Order Form is entered into as of the earlier of the Start

Date and the date last signed below (the “Signature Date”) between Everlaw and Customer (“Effective Date”).

3. Fees. Fees for access to the Service are based on the Customer’s Storage Usage and the VPC instance. Storage

Usage is calculated by: (A) rounding the highest amount of data stored on each Database in the applicable month

to the nearest whole gigabyte (the “Peak Database Size”); and (B) summing the Peak Database Size across all

Databases that included data during the applicable month. The Peak Database Size for each Database includes:

(i) the peak Native Data (not including the data sizes associated with the image and text file of a Document

generated through the native uploader functionality) usage for the month; and (ii) the peak Processed Data usage

for the month. Should any Database contain data that is less than 1 GB, that Database will be rounded up to 1

GB.Fees for the VPC will be paid in accordance with terms stated in the “VPC” table above.

4. Subscription Billing. Storage Usage is calculated monthly at the applicable “Rate per GB” in the Rates tables.

Customer will be billed the greater of (A) the Monthly Minimum; or (B) the fees resulting from Storage Usage.

5. Suspended Data; Billing. Customer may place Projects in suspended mode, with no Customer access, at any

time (“Suspended Data”). If Customer chooses to place an entire Database, including all of its Projects, in

suspended mode for an entire calendar month, only then will Customer be billed the “Rate per GB” for Suspended

Data. Unless suspended before the first day of a calendar month, any Database with Suspended Data for a partial

month will be billed at the respective rates for Active Data.

6. Case Deletion. Any Databases that remain on the Service during any portion of a calendar month will be included

in Customer's Storage Usage totals, regardless of when such Database is deleted.

The person signing this Order Form on behalf of the Customer represents and warrants that they have the legal authority

to bind the Customer.
